6.1 Scope of Services

She Be Free provides computer systems design, architecture consulting, cloud infrastructure design, integrated systems engineering, DevOps and CI/CD pipeline design, cybersecurity architecture, and data systems and analytics platform design services. The specific scope, deliverables, timeline, and fees for any project engagement will be detailed in a separate written agreement, statement of work, or proposal executed by both parties.

6.2 No Guarantee of Results

While we apply industry best practices and draw upon extensive professional experience, She Be Free does not guarantee specific outcomes, revenue increases, or performance metrics from the implementation of our recommendations and designs. Results depend on numerous factors including but not limited to your organization's execution, market conditions, and technological environment.

6.3 Client Responsibilities

For any services engagement, you agree to provide timely access to relevant systems, data, personnel, and information reasonably required for us to perform the services. You acknowledge that delays in providing such access may impact project timelines and deliverables.

7. Third-Party Links and Resources

The Website may contain links to third-party websites, applications, and resources that are not owned, operated, or controlled by She Be Free. These links are provided for your convenience only and do not imply any endorsement, sponsorship, or recommendation by us. We have no control over the content, privacy policies, or practices of any third-party websites and assume no responsibility for them. You acknowledge and agree that She Be Free shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any third-party websites or services.

In no event shall the aggregate liability of She Be Free exceed the amount paid by you to the Company, if any, during the twelve-month period preceding the event giving rise to the claim, or one hundred United States dollars (USD $100.00) if you have not made any payments, whichever is greater. The limitations of liability set forth above are fundamental elements of the basis of the bargain between She Be Free and you.

10. Indemnification

You agree to defend, indemnify, and hold harmless She Be Free, its parent company, subsidiaries, affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees — including reasonable attorneys' fees — arising out of or relating to:

• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• Your violation of any applicable laws, rules, or regulations

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate fully with us in asserting any available defenses.

11. Termination

We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Website and Services to any person or entity for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms of Service or any applicable law or regulation.

We may terminate your use or participation in the Website and Services, or delete your account and any content or information that you posted at any time without warning, at our sole discretion. All provisions of these Terms of Service that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter — including non-contractual disputes or claims — shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of or related to these Terms of Service or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Utah, in each case located in Salt Lake County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Dispute Resolution

13.1 Informal Negotiation

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Service, you and She Be Free agree to first attempt to negotiate any dispute informally for at least thirty days before initiating any formal proceeding. Such informal negotiations commence upon written notice from one party to the other. The notice must include a written description of the dispute and the relief sought, and be sent to the contact information provided on the Website.

13.2 Binding Arbitration

If the parties are unable to resolve a dispute through informal negotiation within thirty days, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Salt Lake County, Utah, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

13.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and She Be Free individually. To the fullest extent permitted by law, no arbitration or proceeding shall be joined with any other; there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

13.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts as necessary to protect its intellectual property rights, confidential information, or to prevent irreparable harm. Any such action may be brought in a court of competent jurisdiction without the requirement of prior informal negotiation or arbitration.

14. General Provisions

14.1 Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by us on the Website, constitute the entire agreement between you and She Be Free concerning the Website and Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and us regarding the Website and Services.

14.2 Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

14.3 Waiver

No waiver by She Be Free of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms of Service or any rights and licenses granted hereunder without our prior written consent. We may assign or transfer these Terms of Service without restriction. Any attempted assignment in violation of this provision shall be null and void.

14.5 Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms of Service for causes beyond that party's reasonable control and occurring without its fault or negligence, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.6 Relationship of the Parties

Nothing in these Terms of Service shall be construed to create a partnership, joint venture, agency, or employment relationship between you and She Be Free. Neither party has any authority of any kind to bind the other in any respect whatsoever.
